Venture capital fund registered with the Astana International Financial Centre (AIFC) and holding an AIFC license. byb capital has networks rooted in Kazakhstan and the U.S. The international team includes Stanford GSB and UPenn alumni with extensive experience across venture capital, private equity, investment banking, Big-4 and corporate.

Responsibilities:

1. Investments (startups) analysis:

• Conduct legal support for analyzing companies (Legal due diligence / audit) targeted for investment (startups)
• Assess and analyze legal risks associated with investment projects and transactions
• Draft and review contracts (e.g., SAFE, SPA) related to investments

2. AML & MLRO:

• Oversee the organization' s compliance with AIFC/AFSA requirements
• Conduct monitoring within the framework of AML/KYC compliance
• Conduct assessments for compliance, prepare reports for the regulator (AFSA)

3. Internal Legal Support:

• Support the company within the AIFC jurisdiction, including drafting, analyzing, and modifying internal policies and other acts in accordance with AIFC requirements
• Manage corporate documentation, including the amendments to the founding documents, and other corporate decisions
• Provide legal support for the company, preparing drafts of legal documents and ensure compliance with legal and regulatory requirements within the local legislation of Kazakhstan and under the AIFC regulations

• Higher professional education in law, economics, management, business administration or other relevant education
• Proficient in English (mandatory)
• Aspiration to develop in the field of venture investments for the long term
• Experience with AIFC, including AFSA, is not required but considered a plus
